Terms of service

1. Who we are

Toile is run by [LEGAL ENTITY], registered in Portugal under tax number (NIF/NIPC) [NIF], with its address at [ADDRESS]. "We" and "us" mean [LEGAL ENTITY]. "You" means the brand or business that uses Toile, and the people it invites.

2. What Toile is

Toile is a set of planning tools for fashion brands: an overview, production review, costing and margin, line planning and forecasts. You add your own files (for example production quantities and sales), or connect a shop. Toile reads them and shows findings, projections and flags.

You can use the tools without an account. In that case your files are read in your browser and are not uploaded. When you sign in and use a workspace, your files are stored on our servers so your team can use them from any device.

3. Accounts and workspaces

• Each person needs their own account with a working email address. Keep your password private. Tell us at once if you think someone else has used your account.
• A workspace belongs to one brand. The person who creates it is its owner. Owners and admins can invite people, change roles and remove people. Only the owner can delete the workspace.
• You are responsible for who you invite and for what they do in your workspace.
• You must be at least 18 to create an account.

4. Your data

• Your data stays yours. Everything you upload or sync (files, sales, plans, settings) belongs to you. You give us permission to store and process it only to run Toile for you.
• For your data, we act as your processor under the GDPR. The data processing agreement is part of these terms and applies automatically.
• We never sell your data. We never use it to train models. We never use it to inform what we show any other brand, including benchmarks or comparisons, unless you agree to that in writing.
• Only members of your workspace can see its data. Our staff look at it only to fix a problem you report, or when the law requires it.
• You can export everything in a workspace at any time (Account, Your data, Download all data), as a zip of CSV files.
• Make sure you have the right to upload what you upload. Do not upload your customers' personal data. Toile does not need it. When you connect Shopify, we store only sales totals per product and size, never names, emails or addresses of your customers.

How we handle the personal data of the people who use Toile (names, emails, sign-in records) is set out in the privacy policy.

5. Fair use

Do not use Toile to break the law, to upload malware, to try to reach another workspace's data, to overload or probe the service, or to resell it without our written agreement. If you find a security problem, tell us at [SECURITY EMAIL] and give us a fair chance to fix it before telling anyone else.

We may suspend an account or workspace that puts the service or other customers at risk. We will tell you why, unless the law stops us.

6. Plans, fees and VAT

• Free trial. A person's first workspace is free for 30 days from the day it is made. No card is needed. Each person gets one trial: a second workspace, or one made after deleting the first, starts without a trial. When the trial ends and there is no plan, the workspace becomes read-only: you can still view, export and remove files, but not upload, change column choices, restore earlier versions or sync a shop, until a plan starts.
• Paid plans are charged per workspace, per month, in advance, through our payment provider Stripe. Prices are shown before you subscribe. VAT is added where it applies.
• A plan renews every month until it is cancelled. You can cancel at any time in workspace billing. The plan then runs to the end of the month already paid and is not renewed. We do not refund part months, except where the law requires it.
• If a payment fails, we will tell you and try again. You keep full access for 7 days, counted from the start of the unpaid period. If it is still unpaid after that, the workspace becomes read-only until it is paid. Your data is not deleted for a failed payment.
• Pilot or free periods are as agreed in writing with you. At the end of a pilot nothing is charged unless you choose a paid plan.
• We may change prices with at least 30 days' notice by email. The new price applies from your next billing month after the notice.

7. Forecasts are estimates

Toile's projections, flags, size splits and early reads are estimates made from the files you give it. They can be wrong, especially with little history. They are not financial, legal or tax advice. Decisions about what to make, buy, price or cancel remain yours.

8. Availability and changes

We work to keep Toile running and your data safe, with backups. During the early access period we do not promise a fixed uptime. We may improve, change or remove features. If we remove something you pay for, we will tell you in advance and you may cancel.

9. Ending the agreement

• You can stop at any time: cancel the plan on the billing page, export your data (Account, Your data, Download all data), and delete the workspace (Account, Delete the workspace).
• We can end the agreement with 30 days' notice, or at once if you seriously break these terms.
• When a plan ends or a trial runs out, the workspace is kept read-only until its owner deletes it. You can view and export it at any time. We do not delete it on our own.
• If we end the agreement, we email the workspace owners first. They then have 30 days to export their data. After that we delete the workspace and its data from our live systems.
• When a workspace is deleted, it is removed from the live database at once. Copies in backups are overwritten within [BACKUP DAYS] days.
• Sections 4, 10, 11 and 12 continue after the agreement ends.

10. Liability

Nothing in these terms limits liability that cannot be limited by law, such as for fraud or wilful misconduct (dolo) or gross negligence (culpa grave).

Otherwise: we are not liable for indirect loss, such as lost profit, lost sales or decisions made from an estimate. Our total liability in any 12 months is limited to the fees you paid us in those 12 months, or [AMOUNT] euros if you paid nothing.

11. Intellectual property

Toile's software, design and text are ours. You get the right to use them while the agreement lasts. Your data and your brand are yours. If you send us suggestions, we may use them without owing you anything.

12. Law and disputes

These terms are governed by Portuguese law. Let us try to solve any problem by talking first. If we cannot, the courts of [CITY], Portugal, decide.

13. Changes to these terms

If we change these terms in a way that matters, we will email workspace owners at least 30 days before. If you do not agree, you can cancel before the change takes effect.
